M-D Building Products of Oklahoma Acquires Morse Industries of Seattle

Oklahoma City-based M-D Building Products Inc., a manufacturer of weatherization, flooring and installation products, has acquired the assets of Seattle-based Morse Industries. Founded in 1982, Morse is a family-operated company that provides solutions in glass railing, showers and architectural metals to industry professionals. The acquisition includes three facilities as well as an international distribution system servicing North America, Europe and the Pacific Rim.

“The Morse acquisition reinforces M-D as an industry consolidator seeking to complement our existing growth strategy as we continue to diversify and expand into new markets,” says Loren Plotkin, chairperson and president of M-D Building Products. “After meeting with the Morse team, it didn’t take long to determine it was in the best inter-est of both companies to consider an acquisition. Morse is an ideal fit for M-D. Both companies are privately-held, family-owned and operated and share similar values. The bringing together of these two companies expands our product portfolio, increases our manufacturing capabilities, adds distribution centers and opens new markets. We view the acquisition of Morse as a driver of long-term growth.”

In addition to M-D’s weatherization, flooring and installation products, the company also manufactures aluminum and vinyl extrusions. Along with Morse’s presence in this segment, the acquisition expands their footprint in the aluminum and vinyl extrusion markets.

“After more than 35 years of running Morse Industries as a family business, my brothers and I decided it was time to join a larger family,” says Terry Morse, CEO of Morse Industries. “We’ve known and respected M-D for many years. In addition to diversifying the business, joining with M-D gives us greater internal capabilities and experts to expand and enhance our operations, especially in the aluminum and vinyl extrusion market.”

Morse has national operations including distribution facilities in Kent, Wash., Brea, Calif., and Indian Trail, N.C. M-D Building Products operates multiple manufacturing sites across the U.S. and Canada. Terry Morse will continue in his role as CEO of Morse.

“We respect the Morse family and the business,” says Plotkin. “Integrating with Morse will allow us opportunities to broaden our product line, expand into new markets and continue supply chain and logistics growth.”

Sika Acquires Sealant Manufacturer Emseal

Waterproofing and specialty construction and industrial materials company Sika has acquired expansion joint and precompressed sealant manufacturer Emseal Joint Systems Ltd.

According to a release from Emseal, “customer focus, service and customized solutions leveraged through broad sales partnerships define the company’s success in structural expansion joint sealing. In this acquisition, Emseal has found common ground on its core values, and the cultural synergies could not be better for both Emseal and Sika.”

“Emseal’s excellent brand, reputation, distribution and representation partnerships, and unique approach to the market, make it an ideal fit for Sika,” says executive vice president Rick Montani. “In addition, we see Emseal continuing to operate as a stand-alone business unit while taking advantage of the many synergies, sales strengths and technology integration opportunities that this partnership presents.”

The Emseal management team of CEO Lester Hensley, president Dan O’Hayer, and vice president and director of research and development Bill Witherspoon, along with their entire respective marketing, sales, administration and manufacturing managers and staff, will continue under Sika’s ownership.

“We have been fortunate to have had such supportive ownership over the last nine years under private equity firm Fulham & Company,” says Hensley. “We are equally pleased to be joining the Sika family, and feel this is absolutely the best fit for the next exciting stage in Emseal’s global growth plan.”

Emseal has recently expanded its manufacturing operation into a new 156,000- square-foot facility in Toronto and will continue to operate administration, sales and engineered product manufacturing activities out of its Boston-area head-quarters in Westborough, Mass.

CPI Daylighting Becomes Part of Kingspan Group

CPI Daylighting is now part of global building products manufacturer King-span Group’s Kingspan Light + Air Division.

According to the announcement, the company remains committed to advancing daylighting design, while setting a high standard for the quality and versatility of daylighting technology, now under the name Kingspan Light + Air.

Belmont Enterprises Acquisition Brings Additional Glass-Hauling Expertise to Smokey Point Distributing

Belmont Enterprises, based in Olympia, Wash., was acquired by Smokey Point Distributing (SPD), a Daseke company. Belmont will retain its name and continue its operations as it did before, but with the additional resourced provided by SPD.

“There is a lot of synergy between our two companies in philosophy, customer service and ethics,” says SPD president and CEO Dan Wirkkala. “Belmont Enterprises began operation in the 1970s by Jack and Mary Jo Belmont with just one truck. As CEO, Jack Belmont has since done a wonderful job developing a premier West Coast glass-hauling business. I’ve known Jack for 20-plus years and have always been impressed with his business. We will add technological resources, such as our transportation management system and the consolidated purchasing power of Daseke to complement his current operations. This will make us all even stronger and more efficient.

Through the years, Belmont has improved its method of moving sheets of clear and coated glass, some measuring 102 inches tall by 144 inches long. The company’s patented swivel-top tie-down system, which is used with its metal racks mounted on roll-top trailers, eliminates the need for ladders in loading.

“It’s safer, more secure and efficient,” says Jack Belmont. “We haul up to 53,000 pounds of glass in each load; this securement process has revolutionized our strap-down process, ensuring safe and breakage-free deliveries.”

Belmont notes, “I wouldn’t merge with just anyone. I knew SPD was the right choice. I trust Dan. I care very deeply about the future of our people. I know his team understands how to work in a niche market by providing outstanding customer service.”

Bohle Group Expands with Portals Luxury Hardware Acquisition

Portals Luxury Hardware, a shower and bath accessory manufacturer based in Kansas City, Mo., is now part of the Bohle group.

“Portals has an incredible reputation and designers, architects and glass companies have depended on the quality and service that they have been providing for the last 16-plus years,” says Gareth Francey, president of Bohle America. “Bohle America is the home for a multitude of products for the glass professional, and adding the expertise, designs and overall Portals product line allows us to offer even more to our customers. I’m excited that Eric Miller, CEO of Portals, will stay on with the company and his employees will also continue in their current positions. Portals will operate as a subsidiary, and customers can expect the same approach that they have been accustomed to since the founding of the company.”

“I want to stress that this transition will be seamless for the Portals customer and will allow us to invest where we have been limited previously,” says Miller. “This deal was done for the long-term growth of Portals, matching up with an excellent partner that will allow us to build our distribution and increase delivery of new products and service of all of our customers’ needs.”

Portals and Bohle America are both family-owned and run businesses.

The Portals location in Missouri will become a distribution point for many Bohle America products.
