Mergers & Acquisitions December 2021

Isoclima Acquires the Two Remaining CGH Companies

The last two companies that were once part of Consolidated Glass Holdings (CGH), are now under new ownership. Isoclima Group, an Italian producer of high-performance glass and transparent solutions, acquired Global Security Glazing and Dlubak Specialty Glass Corp. from SSI Consolidated Holdings (dba Consolidated Glass Holdings). In 2012, Grey Mountain Partners, which established CGH, acquired Global Security Glazing then Dlubak in 2013.

“We are very excited about this acquisition. This a major step towards achieving our strategic plan for Isoclima by 2023. With this acquisition, Isoclima will strengthen its leadership in the ballistic transparencies industry, expanding in a new market segment and establishing local production capabilities in a region which is pivotal to the achievement of its growth targets. From this strong base, Isoclima plans to become the North American leader of the armored transparencies market,” says Paolo Cavallari, CEO of the Isoclima Group.

“We are thrilled to be a part of the Isoclima family,” says Lance Cotton, president and CEO of Isoclima Specialty Glass LLC, who previously served as president of Global Security Glazing and Dlubak Specialty Glass Corp. “Isoclima is known for the commitment to quality, innovation, culture, and the industries it serves. This is an organization that is deeply engrained into the design and manufacturing of engineered glass and we couldn’t be more excited to have ownership that will provide us with the resources to deliver
the best experience to our customer base. The combination of our production and innovation capabilities will enable us to further strengthen our ability to meet or exceed our customers’ expectations.”

Installed Building Products Makes Acquisitions

Installed Building Products Inc., an installer of insulation and complementary building products, acquired Denison Glass and Mirror Inc. and an affiliated entity, DGM Glass LLC. The company also acquired Mr. Insulation Co.

Established in 1947, Denison is located in Denison, Texas, serving mostly the Dallas/Fort Worth area. Denison primarily installs glass, frames, curtainwall and related products into new commercial construction projects. DGM primarily installs shower doors and windows in new and existing residential projects.

Mr. Insulation Co. Inc., a Hermiston, Ore.-based installer of insulation, gutters, windows and siding to single-family, multifamily and commercial customers, operates in Oregon and Washington.

“With approximately $20 million of annual revenue, DGM expands our presence to commercial builders within the strong construction markets of Dallas and Fort Worth,” says Jeff Edwards, chairperson and CEO. “In addition, our recent acquisition of Mr. Insulation increases our presence within Oregon and Washington state. To date in 2021, we have acquired approximately $130 million of annual revenues, further surpassing our $100 million acquired revenue target for this year. Acquisitions remain a key component of our growth strategy and we continue to have a robust pipeline of opportunities across multiple geographies, products and end markets.”
